Contract Law

A contract is a legally enforceable agreement between two or more parties with mutual obligations and the drafting of such a document is of paramount importance. When disputes arise over contracts, the remedy at law for breach of contract is "damages" or monetary compensation. In equity, the remedy can be specific performance of the contract or an injunction.

Corporations and Business Associations

A corporation is a formal business association with a publicly registered charter recognizing it as a separate legal entity having its own privileges, and liabilities distinct from those of its members. There are many different forms of business entities, such as limited liability companies, limited liability partnerships and limited partnerships, which are used to conduct business.

Corporate litigation

Sometimes, the best laid plans go awry and members of a business association come to conflict over any one or more of the various aspects relating to the company.  When that happens, members generally have rights against each other and against the company. In relation to the exercise of their rights, minority shareholders usually must accept that, because of the limits of their voting rights, they cannot direct the overall control of the company and must accept the will of the majority. But when majority rule results in inequity, minority members are not without remedies.

Members always retain the right to sue if the majority does not conduct the company’s business affairs in conformity with either corporate governing documents or statute.  Additionally, it is possible for minority shareholders to take a representative or derivative action in the name of the company, where the company is controlled by the alleged wrongdoers or the wrongdoers refuse to act on behalf of the company vis a vis third party wrondoers
